Contract Agreement

This agreement is between Do Work Limited, a digital marketing agency, hereinafter referred to as "Digital Grow", and the Client.

The Client agrees to the terms of this agreement by filling out an online form and submitting it to Digital Grow. The form will include the terms of the management subscription and the Client must agree to these terms in order to receive the services provided by Digital Grow.

Purpose

The purpose of this Agreement is to establish the terms and conditions under which Digital Grow will provide digital marketing services to the Client.

Services

Digital Grow will provide the following services to the Client:

a. Advertising management: Digital Grow will manage the Client's advertising campaigns, including creating campaigns based on the Client's goals, advanced optimization, and ad creative.

b. CRM: Digital Grow will offer a CRM service to the Client, allowing them to manage their client data. This service will be included in the monthly management fee for advertising, but the Client may continue to use the CRM for $97 USD if they stop the management service in the future.

Date of commencement of the services will be agreed upon by both parties, and charges will be applicable according to that date. A monthly report of performance services will be given to the clients. Digital Grow reserves the right to subcontract a third-party service provider for some of the service tasks. A person who is not a party to the Contract shall not have any rights under or in connection with it.

Payment

The Client agrees to pay Digital Grow the monthly management fee for advertising, as well as any additional fees for services provided outside of the scope of this Agreement. All payments shall be made in accordance with the payment schedule agreed upon by the parties.

If a client engages in any monthly service package with Digital Grow, a full monthly chargeable amount is required upfront. This payment is required within 7 days of the issue date. Advertising Campaigns will only go live once the initial payment has been received. After the initial invoice, a standard calendar monthly billing cycle will apply. The number of days invoiced in the calendar month will depend on the start date.

Invoices for the previous month's services are sent to clients on the 1st of the following month and must be paid by the clients on 20th of that same month. An invoice is considered overdue if unpaid by the 21st of the month. Digital Grow reserves the right to send a reminder to the client to clear the payment once an invoice is considered overdue.

If an invoice remains unpaid for 30 days from the due date, Digital Grow reserves the right to automatically withdraw the overdue payment from the client's provided card details through an automated system.

If this attempt fails and the payment remains overdue for 60 days from the due date, Digital Grow reserves the right to send the account to a debt collection agency. The full cost of the debt collection agency will be passed on to the client.

When a client took access for their assets without notifying to Digital Grow, then the Digital Grow reserves the right to automatically charge outstanding payments from the client's provided card details.

Payment terms can be reviewed on a case by case basis.

Term

This Agreement shall commence on the date of execution and shall remain in effect until terminated by either party upon one month's written notice.

Termination

Either party may terminate this Agreement upon one month's written notice. Upon termination, Digital Grow shall cease providing services to the Client and the Client shall pay Digital Grow for all services rendered up to the date of termination.

Waiver

If at any time during the term of a service contract, we fail to insist upon the strict performance of any of your obligations under the service contract or any of these terms and conditions, then this will not automatically free you from any of the obligations mentioned in the terms and conditions and will not constitute a waiver. Any waiver of terms and conditions will be valid officially only if it is communicated to you in writing.

Privacy Rights

Information, like name, email, contact number, website URL, and credit card numbers that the clients provide us by filling the contact form will be kept confidential and not be exposed to a third party, without their prior consent. However, the information will be made privy to the employees of Digital Grow. Digital Grow will take reasonable precautions to prevent the loss, misuse, or alteration of your personal information. The transfer of data over the internet is inherently insecure, and any kind of security in this regard cannot be guaranteed by Digital Grow.

Cookies are used to track the browsing information/preferences of web users, and we may use Cookies to gather statistical data about your browsing pattern for optimizing our site. Some of the third-party advertisers who have their ad links on our website may also use Cookies to gather statistical information about you. However, in no way Cookies give access to any of your personal information either to us or a third-party entity.

Limitation of Liability

Digital Grow shall not be liable for any indirect, incidental, or consequential damages arising from its performance under this Agreement.

Governing Law

This Agreement shall be governed by the laws of New Zealand.
